Alibaba Partner System:

1. Alibaba partners have a total of 28 members, including 22 Alibaba Group management and 6 affiliated companies and branches management. Among them, Jack Ma and Joseph Tsai are permanent partners, and the remaining partners are temporary partners. Their terms are related to their positions, that is, when they work in Alibaba Group or affiliated companies, they are partners; once they leave, they "retire" from Alibaba partners. There is no final limit on the number of partners.

2. Alibaba elects new partners once a year. New partners must obtain the consent of more than three-quarters of the current partners to be elected. Partners vote on a one-person-one-vote basis.

3. New partners need to meet the conditions of working in Alibaba or affiliated companies for more than five years; making positive contributions to the company's development; highly identifying with the company culture and willing to do their best for the company's mission, vision and values.

4. During the term of partner, each partner must hold a certain proportion of the company's shares.

5. The rights of partners include the right to nominate directors and the right to distribute bonuses. Alibaba partners have the right to nominate more than half of Alibaba's directors, and the nomination of directors must be supported by more than half of the shareholders' votes to take effect. If a shareholder objects to any of the partners' nominees, the partners can appoint another person as a "transitional director" without the need for a shareholder vote, with a term of one year.
