昨天我们提出在分析一家企业的时候有九大要素需要考虑。那就是:领导者、商业模式、治理结构、企业文化、现金流、沟通、团队、系统和法规。我们已经重点讲了领导者,今天我们将其他八大要素一起讲一下。

商业模式主要包含:产品模式、用户模式、推广模式和盈利模式。

阿里巴巴的产品模式主要是阿里巴巴门户网站、淘宝网、天猫商城、支付宝、阿里妈妈、阿里云、阿里软件等。

用户模式:阿里巴巴门户网站的用户主要是小企业;淘宝网主要是个人卖家和个人买家;天猫商城主要是个人买家和企业卖家;支付宝主要是个人和金融机构;阿里妈妈主要是小企业广告主;阿里云和阿里软件的用户主要是企业等;

推广模式:前期主要是地推团队的强力推广,后期主要靠自身各大网络平台的影响力和品牌效应。

盈利模式:主要是收取会员费、服务费和广告费等。

治理结构主要指股权和公司治理结构。股权结构就是各股东的持股比例,很多创业者开始创业的时候一般拉着三五好友,在股权结构方面没有概念,或者直接将股权均分。其实这是最要不得的,因为后期公司做大,必须要有一个说了算的人。持股比例一致,在无法达成一致的情况下,很难做出有利于公司发展的正确决策。另外一旦投资人进来瓜分股份,或者其中一两个联合起来搞政变,创始人很容易被踢出局。比如乔布斯、比如聚美优品的创始人陈欧,他在创办GG游戏对战平台的时候就因为股权过于平均的问题,失去了对公司的掌控,自己的创业成果被他人窃取。

马云对公司的员工非常慷慨,阿里巴巴基本是全员持股的局面。而他本人的持股比例只有7.8%,在这样少的比例下,想要掌控整个公司是非常困难的。所以马云独创了合伙人制度,这个制度是指阿里巴巴过半的董事会成员必须由合伙人提名,然后由股东会投票通过。整个阿里巴巴只有马云和蔡崇信是永久合伙人。这样就保证了马云及创始人团队可以用极少的股份掌控董事会。

Promotion model: In the early stage, it is mainly the strong promotion of the ground promotion team, and in the later stage, it mainly relies on the influence and brand effect of its own major network platforms.

Profit model: It mainly collects membership fees, service fees and advertising fees, etc.

Governance structure mainly refers to equity and corporate governance structure. Equity structure refers to the shareholding ratio of each shareholder. When many entrepreneurs start their business, they usually bring three or five friends with them. They have no concept of equity structure, or they just divide the equity equally. In fact, this is the most undesirable, because when the company grows in the later stage, there must be someone who has the final say. If the shareholding ratio is consistent, it is difficult to make the right decision that is beneficial to the development of the company if no agreement can be reached. In addition, once investors come in to divide up the shares, or one or two of them unite to make a coup, the founder can be easily kicked out. For example, Steve Jobs and Chen Ou, the founder of Jumei, lost control of the company when he founded the GG game battle platform because of the problem of too equal equity, and his entrepreneurial achievements were stolen by others.

Jack Ma is very generous to the company's employees. Alibaba is basically a situation where all employees hold shares. However, his personal shareholding ratio is only 7.8%. With such a small proportion, it is very difficult to control the entire company. Therefore, Jack Ma created the partnership system, which means that more than half of Alibaba's board members must be nominated by partners and then voted by shareholders. In the entire Alibaba, only Jack Ma and Joseph Tsai are permanent partners. This ensures that Jack Ma and the founding team can control the board of directors with very few shares.
